Post-Partnership Use of Intellectual Property

Upon termination or expiry of any partnership, the Partner must cease using all Wild Sprout Kitchen Ltd branding, logos, menus, recipes, menu descriptions, marketing materials, and other proprietary content associated with the partnership.

Within 14 days of the partnership ending, the Partner must remove such content from its website, social media channels, promotional materials, menus, signage, and any physical premises or property under its control.

The Partner must not subsequently reproduce, adapt, or use any Wild Sprout Kitchen Ltd menu, recipe, menu structure, branding, or other proprietary material in connection with its own or any third-party food provision.

Any replacement or subsequently introduced menu must be materially distinct from menus provided by Wild Sprout Kitchen Ltd during the partnership or at any previous time. In particular, the Partner must not reproduce or substantially replicate the same combination of dishes, recipes, menu descriptions, concepts, or distinctive menu structure. A replacement menu should not be substantially similar to, or create the impression that it is derived from, any current or historical Wild Sprout Kitchen Ltd menu.

This restriction does not prevent the Partner from providing ordinary or commonly used dishes that are independently developed and are not based on Wild Sprout Kitchen Ltd's proprietary recipes, menus, or materials.

Following the termination or expiry of any partnership, continued use of Wild Sprout Kitchen Ltd intellectual property will be subject to an intellectual property licence fee of £150 + VAT per week.

4. Content Accuracy
